1. Acceptance of Terms

By accessing and using KRAMatrix services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all visitors, users, and others who access or use our AI automation, web development, and digital marketing services.

2. Description of Services

KRAMatrix provides the following services:

  • AI Business Automation: Custom AI solutions, chatbots, and process automation
  • Web Development: MERN stack development, React.js, Next.js applications
  • Mobile App Development: React Native and cross-platform mobile applications
  • Digital Marketing: SEO, social media marketing, and digital strategy
  • CRM Development: Custom customer relationship management systems
  • Business Intelligence: Data visualization and analytics dashboards

3. Service Agreement and Project Terms

All projects are subject to a separate service agreement that will include:

  • Project scope, deliverables, and timeline
  • Payment terms and schedule
  • Intellectual property rights
  • Confidentiality and non-disclosure terms
  • Support and maintenance terms
  • Termination and cancellation policies

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Projects require a 50% advance payment before commencement
  • Remaining balance is due upon project completion and delivery
  • Payment methods include bank transfer, UPI, and online payment gateways
  • Late payments may incur additional charges as specified in the agreement
  • All prices are exclusive of applicable taxes unless otherwise stated

5. Intellectual Property Rights

Intellectual property ownership is governed by individual service agreements:

  • Client Content: You retain ownership of all content, data, and materials you provide
  • Custom Development: Upon full payment, you own the custom-developed solution
  • Third-Party Components: Subject to respective third-party licenses
  • KRAMatrix IP: We retain rights to our proprietary tools, frameworks, and methodologies
  • Open Source: Open source components are subject to their respective licenses

6. Confidentiality and Non-Disclosure

We understand the sensitive nature of your business information:

  • All client information is treated as confidential
  • We implement appropriate security measures to protect your data
  • Our team members sign confidentiality agreements
  • We do not share client information with third parties without consent
  • Confidentiality obligations survive project completion

7. Service Level and Support

We are committed to delivering high-quality services:

  • Projects are delivered according to agreed timelines
  • We provide post-delivery support as specified in service agreements
  • Bug fixes and minor updates are included in the support period
  • Major feature additions require separate agreements
  • Support response times are specified in individual agreements

8. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information for project requirements
  • Respond to requests for feedback and approvals in a timely manner
  • Provide necessary access to systems, data, and team members
  • Make payments according to agreed terms
  • Respect intellectual property rights and confidentiality
  • Use delivered solutions in compliance with applicable laws

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount paid for the specific service
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for third-party actions or service interruptions
  • Clients are responsible for backing up their data
  • We provide services "as is" without warranties beyond those specified

10. Termination

Either party may terminate services under the following conditions:

  • With 30 days written notice for ongoing services
  • Immediately for breach of contract or non-payment
  • Upon completion of project deliverables
  • Termination does not affect accrued rights and obligations
  • Confidentiality obligations continue after termination

11. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

12. Governing Law and Disputes

These terms are governed by the laws of India. Any disputes will be resolved through:

  • Good faith negotiations between the parties
  • Mediation if negotiations fail
  • Arbitration in accordance with Indian Arbitration laws
  • Courts of competent jurisdiction in Mumbai, India

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the new terms.
